Welcome to Publish Now. By accessing or using our Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Publish Now is operated by Driven Success LLC, located at 160 Greentree Drive, Suite 101, Dover, Delaware 19904, United States ("Company", "we", "us", or "our").

1. Description of Service

Publish Now provides a unified social media API platform that enables developers and businesses to create, schedule, and publish content across multiple social media platforms — including X (Twitter), Instagram, TikTok, and LinkedIn — through a single API endpoint ("Service").

The Service includes access to our REST API, developer documentation, dashboard, and any related tools or features we provide.

2. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security and confidentiality of your API keys and account credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

3. API Usage and Limits

Your use of the Publish Now API is subject to the rate limits, usage quotas, and feature restrictions associated with your subscription plan. You agree not to:

• Exceed or attempt to circumvent API rate limits or usage quotas
• Use the API in a manner that degrades the experience for other users
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the API to build a competing product or service
• Share, transfer, or sublicense your API keys to third parties without our prior written consent

We reserve the right to throttle, suspend, or terminate API access for any account that violates these restrictions or poses a risk to the integrity of our platform.

4. Third-Party Platform Integrations

The Service enables you to connect and interact with third-party social media platforms. By using these integrations, you acknowledge and agree that:

4.1 Platform Terms Compliance

You must independently comply with the terms of service, developer policies, and community guidelines of each platform you connect through Publish Now, including but not limited to:

• X (Twitter): X Developer Agreement and Policy, X Terms of Service
• Instagram: Meta Platform Terms, Instagram Terms of Use, Meta Graph API Terms
• TikTok: TikTok Developer Terms of Service, TikTok Terms of Service, TikTok Content Posting Guidelines
• LinkedIn: LinkedIn API Terms of Use, LinkedIn User Agreement, LinkedIn Partner Program Terms

4.2 Content Responsibility

You are solely responsible for the content you publish through the Service. We do not review, approve, or endorse content posted through the API. You must ensure that your content complies with each platform's content policies and applicable laws.

4.3 Platform Access Tokens

When you connect a social media account, you authorize Publish Now to store access tokens and use them to perform actions on your behalf (such as publishing or scheduling posts). You may revoke this authorization at any time by disconnecting the account through your dashboard or revoking access directly on the platform.

4.4 Platform Changes

Third-party platforms may change their APIs, policies, or terms at any time. We will make reasonable efforts to maintain compatibility, but we do not guarantee uninterrupted access to any third-party platform. We are not liable for any loss or disruption caused by changes to third-party platform APIs or policies.

5. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed monthly or annually in advance, depending on your selected plan
• Each plan includes an allotment of usage credits; each API action (post, schedule, media upload, etc.) consumes credits as described in our pricing documentation
• When your credit balance reaches zero, further API actions will be rejected until your credits are replenished at the next billing cycle or via a plan upgrade
• All fees are non-refundable except where required by applicable law, or within 7 days of your initial purchase
• We may change pricing with at least 30 days' advance notice; continued use after the change constitutes acceptance

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Post or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Engage in spam, unsolicited messaging, or automated mass posting that violates platform policies
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service for any form of illegal data collection, surveillance, or harassment
• Violate any applicable law, regulation, or third-party right

7. Intellectual Property

The Service and its original content, features, functionality, design, and documentation are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload through the Service. By using the Service, you grant us a limited, non-exclusive license to process and transmit your content solely for the purpose of providing the Service.

8. Data and Privacy

We collect and process personal information as described in our Privacy Policy. By using the Service, you consent to the collection and processing of your information as described therein.

We collect your name, email address, payment information, API usage data, and social media access tokens. For detailed information about how we handle your data, please consult our Privacy Policy.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• Your use of the Service poses a security risk or may cause harm to other users
• Continued provision of the Service to you is no longer commercially viable
• We are required to do so by law

You may terminate your account at any time by contacting us or through your account dashboard. Upon termination, your right to use the Service ceases immediately. We will delete or anonymize your data within 30 days, except where retention is required by law.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. You use the Service at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Content you publish through the Service
• Your violation of these Terms
• Your violation of any third-party rights, including platform terms of service

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on this page and, where possible, notifying you by email.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
